Veloxis Ltd (“Veloxis”) (trading as Brikk) is a company registered in England and Wales. We operate a digital real estate investment platform offering fractional access to professionally managed residential properties across the United Kingdom. Our services are available via our website and mobile applications, and are governed by UK law, including compliance with the Money Laundering Regulations 2017 and other applicable financial standards.

Effective Date

This agreement becomes effective upon your electronic acceptance or continued use of the Gobrikk platform.

Purpose

Gobrikk provides access to fractional property investments, joint ventures, and short-term bridge lending opportunities across the UK. As a client, you may invest in specific property-backed projects or portfolios through the platform. These Terms of Use outline the conditions under which Gobrikk provides its services. By using our website or mobile applications, you enter into a legally binding agreement and also agree to our [Privacy Policy], which explains how we collect, use, and protect your personal data.

Agreement

By accessing our website at www.gobrikk.com or using our mobile applications, you agree to be bound by these Terms of Use. A “User” is anyone who visits or interacts with the platform, and a “Client” is a registered investor with an active account. Clients are also subject to our Client Agreement, Privacy Policy, and any additional terms agreed upon during onboarding or investment setup. These Terms may be updated periodically without prior notice; the latest version will always be available on the platform.

Eligibility

Gobrikk is intended for individuals aged 18 and over. By accessing or using the platform, you confirm that you meet this age requirement. Use by individuals under 18 is strictly prohibited and constitutes a breach of these Terms.

Account Access

To access investment features, you must register for a Gobrikk account (“User Account”). You will be asked to create a password, which must be kept secure. You are responsible for all activity under your account, whether authorised or not. You agree to provide accurate, current, and complete information during registration and to update it as needed. Gobrikk uses physical, electronic, and procedural safeguards in line with UK regulatory standards to protect your personal information.

Alerts and Notifications

By creating a User Account, you consent to receive service-related alerts via email and mobile notifications. These may include your name, email address, and portfolio information if applicable. You may opt out of marketing communications at any time, but essential service alerts will continue to ensure platform functionality and compliance.

Confidentiality

All non-public information and documents obtained by Gobrikk or its employees, consultants, or agents shall be treated as confidential and not disclosed to third parties except:
● Where required by law, court order, or regulatory authority in the United Kingdom
● To professional advisers under confidentiality obligations

This confidentiality obligation survives termination of this Agreement. By using the platform, you acknowledge and consent to Gobrikk’s [Privacy Policy].

Gobrikk Services

Gobrikk delivers its services exclusively through its online platform and mobile applications (“Electronic Platform”). You may contact Gobrikk by email during business hours for technical or service-related queries.

As part of account setup, you may be asked to complete a questionnaire providing information about your financial situation, goals, and risk tolerance. Gobrikk may use this information to suggest suitable investment opportunities. You may override these suggestions and select alternative strategies. You are responsible for updating your profile if your circumstances change. At minimum, you will be prompted to review your responses annually.

Gobrikk does not provide comprehensive financial planning, tax, accounting, or legal advice. You are encouraged to seek independent advice and consider additional strategies to support your broader financial goals.

Advisory Fees

Management fees are calculated based on the returns from each investment (e.g., fixed income or rental yield). Fees accrue daily and are collected monthly. If you terminate your account mid-month, fees will be pro-rated. Fees are also adjusted for mid-period deposits or withdrawals. If a withdrawal leaves insufficient funds to cover fees, Gobrikk may deduct fees at the time of withdrawal.

Other Fees

You may incur additional charges from third-party financial institutions, such as bank transfer fees or transaction taxes. These are separate from Gobrikk’s management fees.

Fee Payment

By accepting these Terms, you authorise Gobrikk to deduct applicable fees directly from your account. Fees will be paid first from cash balances, then from liquid assets, and finally from the sale of held assets if necessary. This authorisation remains in effect until your account is terminated.

Non-Client Users

If you use Gobrikk for educational or informational purposes without becoming a Client, you acknowledge that investment results are not guaranteed. All investments carry risk, including potential loss of capital. You agree that Gobrikk is one of many tools and should not be relied upon as the sole basis for investment decisions. Gobrikk is not liable for actions you take based on platform content unless you are a registered Client under a signed agreement.

Non-Exclusive Services

Gobrikk provides services to multiple Clients. Investment actions taken on behalf of one Client may differ from those taken for another.

Investment Risks

Investments may fluctuate in value due to market conditions. You acknowledge that Gobrikk does not guarantee investment outcomes or asset performance. Nothing in this Agreement limits Gobrikk’s fiduciary duties or your rights under UK law.

Disclaimer of Warranties

Gobrikk provides its platform and services “as is” and “as available” without warranties of any kind. We disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement. Use of the platform is at your own risk.

Indemnity

You agree to indemnify and hold harmless Gobrikk, its directors, officers, employees, and agents from any claims, losses, or liabilities arising from your use of the platform, except where caused by Gobrikk’s breach of contract, negligence, or violation of applicable law.

Limitation of Liability

To the fullest extent permitted by UK law, Gobrikk shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform or reliance on its content. Gobrikk’s total cumulative liability shall not exceed the amount of fees paid by you in the preceding 12 months.

Disclaimer

The Gobrikk website and mobile applications (the Platform) are provided on an “as is” and “as available” basis. Your use of the Platform and any services offered through it is at your sole risk.

Gobrikk does not warrant that the Platform will be uninterrupted, secure, or error free. To the fullest extent permitted by applicable law, Gobrikk disclaims all warranties, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Gobrikk does not warrant the accuracy, completeness or timeliness of any content on the Platform or on any websites linked from the Platform.

Gobrikk will not be liable for any loss, damage, cost or expense arising out of or in connection with:
● errors, omissions or inaccuracies in Platform content;
● your reliance on information displayed on your dashboard or delivered by email;
● any unauthorised access to or use of our secure servers or any personal or financial information stored therein;
● interruptions to transmission to or from the Platform or performance issues;
● any viruses, malware, or other harmful code introduced by third parties;
● loss arising from third-party content, products, services, advertising, or transactions entered into with third parties through links on the Platform.

You are responsible for reading and acting on material information relating to your investments shown on your dashboard and sent to your registered email. Gobrikk is not responsible for losses that result from your failure to review or act on information provided to you.

All payments for investments on the Platform must be made through the Gobrikk payment methods specified on the Platform. Gobrikk is not responsible for any transfers or payments made to third parties outside the Platform.

Nothing in this disclaimer excludes or limits Gobrikk’s liability for death or personal injury caused by its negligence or for any liability that cannot be excluded by applicable law. To the maximum extent permitted by law, Gobrikk’s aggregate liability to you in respect of any claim arising out of or in connection with the Platform or these terms shall not exceed the total fees paid by you to Gobrikk in the 12 months immediately preceding the claim.
